Outcome of Postal Ballot

This is with reference to the voting conducted through postal ballot on the Special Resolution under section 372A of the Companies Act, 1956, of which notice dated October 16, 2006 was dispatched on October 30, 2006. The last date for receipt of Postal Ballot was fixed as November 28, 2006.

On the basis of the Postal Ballot received till November 28, 2006 (06:00 P.M.), the scrutinizer M/s A. Y. Sathe & Co., Company Secretaries, Mumbai, have submitted their report, which is as under:
